STREAMLIVR TERMS OF SERVICE

Welcome to Streamlivr! These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Streamlivr Technologies Inc. ("Streamlivr," "we," "us," or "our") governing your access to and use of the Streamlivr platform, mobile applications, websites, and all related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Age Requirements

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you are under 18 (or the age of legal majority in your jurisdiction), you must have your parent or legal guardian's permission to use the Services and they must agree to these Terms on your behalf.

1.2 Account Creation

To access certain features of the Services, you must create an account. When creating an account, you agree to provide accurate, current, and complete information; maintain and update your information to keep it accurate; maintain the security and confidentiality of your login credentials; accept responsibility for all activities that occur under your account; and notify us immediately of any unauthorized use of your account.

1.3 Account Verification

To access creator monetization features, you may be required to complete identity verification (KYC) and provide additional information for tax and compliance purposes. Failure to complete verification may limit your access to certain features.

2. THE SERVICES

2.1 Platform Description

Streamlivr is a content creation and distribution platform that enables users to create, share, and monetize short-form videos and livestreams. The Services include Web3 features such as NFT creation and trading, cryptocurrency transactions, and token-gated content access.

2.2 Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

2.3 Third-Party Services

The Services may integrate with or contain links to third-party services, including blockchain networks, wallet providers, and payment processors. Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

3. USER CONTENT

3.1 Your Content

You retain ownership of the content you create and upload to the Services ("User Content"). By posting User Content, you grant Streamlivr a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating and providing the Services.

3.2 Content Representations

You represent and warrant that you own or have the necessary rights to your User Content; your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights; your User Content complies with these Terms and all applicable laws; and you have obtained all necessary consents from any individuals appearing in your User Content.

3.3 Prohibited Content

You agree not to post content that is illegal, fraudulent, or promotes illegal activities; infringes intellectual property rights; contains child sexual abuse material (CSAM) or exploits minors; promotes violence, terrorism, or hate speech; harasses, threatens, or bullies others; is sexually explicit without appropriate restrictions; contains malware or harmful code; is spam or deceptive; violates any person's privacy; impersonates others or misrepresents affiliation; or violates our Community Guidelines.

3.4 Content Moderation

We reserve the right, but have no obligation, to monitor, review, and remove User Content at our sole discretion. We may remove content that violates these Terms or that we find objectionable for any reason without notice.

4. CREATOR MONETIZATION

4.1 Monetization Features

Eligible creators may monetize their content through various features, including tips and donations from viewers, subscriptions, NFT sales, advertising revenue sharing, and virtual gifts and tokens.

4.2 Eligibility Requirements

To participate in monetization programs, you must meet eligibility criteria established by Streamlivr, complete identity verification (KYC/AML), comply with applicable tax requirements, maintain good standing under these Terms, and be of legal age in your jurisdiction.

4.3 Payments and Fees

Streamlivr will retain a platform fee from monetization earnings as specified in our Creator Terms (which may be updated from time to time). Payments will be processed according to our payment schedule and policies. You are responsible for all applicable taxes on your earnings.

4.4 Chargebacks and Refunds

You acknowledge that chargebacks, refunds, or payment reversals may affect your earnings. We reserve the right to withhold or recoup amounts subject to disputes.

5. WEB3 AND BLOCKCHAIN FEATURES

5.1 Wallet Connection

Certain features require you to connect a compatible cryptocurrency wallet. You are solely responsible for the security of your wallet and private keys. Streamlivr does not have access to your private keys and cannot recover lost or stolen assets.

5.2 NFTs and Digital Assets

The Services may allow you to create, buy, sell, or transfer non-fungible tokens (NFTs) and other digital assets. You understand that NFT transactions occur on public blockchains and are irreversible; blockchain transaction fees (gas fees) are your responsibility; the value of NFTs and digital assets is highly volatile; ownership of an NFT does not grant copyright or other IP rights unless explicitly stated; and Streamlivr does not guarantee the value, authenticity, or functionality of NFTs.

5.3 Token-Gated Features

Access to certain content or features may require ownership of specific tokens or NFTs. Access is subject to blockchain verification and may be affected by network conditions.

5.4 Cryptocurrency Transactions

Any cryptocurrency transactions through the Services are subject to the applicable blockchain network's terms and conditions. We are not responsible for blockchain network failures, delays, or errors. Cryptocurrency values are volatile, and you accept all risks associated with cryptocurrency transactions.

5.5 Regulatory Compliance

Web3 features may not be available in all jurisdictions due to regulatory restrictions. You are responsible for compliance with laws in your jurisdiction regarding cryptocurrency and digital assets.

6. INTELLECTUAL PROPERTY

6.1 Streamlivr IP

The Services, including all software, design, text, graphics, logos, icons, images, and the selection and arrangement thereof, are owned by Streamlivr or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

6.2 Trademarks

"Streamlivr" and our logos are trademarks of Streamlivr Technologies Inc. You may not use our trademarks without our prior written permission.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use such feedback without restriction or compensation to you.

6.4 DMCA and Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, please submit a DMCA notice to [email protected] with a description of the copyrighted work, identification of the allegedly infringing material, your contact information, a statement of good faith belief, a statement of accuracy under penalty of perjury, and your physical or electronic signature.

7. PROHIBITED CONDUCT

You agree not to violate any applicable laws or regulations; use the Services for illegal purposes; infringe the rights of others; attempt to gain unauthorized access to the Services or other users' accounts; interfere with the proper operation of the Services; use bots, scripts, or automated methods without authorization; scrape or harvest data from the Services; engage in market manipulation or wash trading of NFTs; circumvent any access restrictions or security measures; use the Services to distribute malware or harmful code; engage in any activity that disrupts or harms other users; or violate our Community Guidelines.

8. TERMINATION

8.1 Termination by You

You may terminate your account at any time by following the account deletion process in your settings or by contacting us at [email protected].

8.2 Termination by Streamlivr

We may suspend or terminate your account and access to the Services at any time, with or without cause or notice, including for violation of these Terms; fraudulent or illegal activity; extended periods of inactivity; requests by law enforcement; or discontinuation of the Services.

8.3 Effects of Termination

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. Blockchain transactions and NFTs will remain on the blockchain and cannot be deleted.

9. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STREAMLIVR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES ARE FREE OF VIRUSES OR HARMFUL COMPONENTS; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE VALUE, QUALITY, OR AUTHENTICITY OF ANY NFTS OR DIGITAL ASSETS. CRYPTOCURRENCY AND NFT MARKETS ARE VOLATILE AND SPECULATIVE. YOU ACCEPT ALL RISKS ASSOCIATED WITH BLOCKCHAIN TRANSACTIONS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STREAMLIVR, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STREAMLIVR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Streamlivr and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services; your User Content; your violation of these Terms; your violation of any rights of another party; your violation of any applicable laws; and any disputes between you and other users.

12. DISPUTE RESOLUTION

12.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will try to resolve disputes within 60 days.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Streamlivr agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the Lagos Court of Arbitration. The arbitration shall be conducted in the English language in the state of Delaware, or remotely if mutually agreed.

12.3 Class Action Waiver

YOU AND STREAMLIVR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

12.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court or seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or other imminent harm.

12.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Federal republic of Nigeria, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Streamlivr regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

Streamlivr shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or Internet outages.

14.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.7 Notices

We may provide notices to you via email, in-app notification, or by posting on the Services. You may provide notices to us at [email protected].

15. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform with a new "Last Updated" date, and we may provide additional notice via email or in-app notification.

Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
